Terms of Service

1. Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between you and Focus Haus LLC, a Wyoming limited liability company (“Focus Haus,” “we,” or “us”). They apply to focushaus.co, app.focushaus.co, any Focus Haus mobile application, and all related services (together, the “Service”).

By joining the early access list, creating an account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current. Notify us promptly at hello@focushaus.co if you believe your account has been compromised.

4. Acceptable use

You agree not to:

• Use the Service in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems and networks.
• Interfere with, disrupt, overload, or probe the Service or its infrastructure, including through automated scraping or denial of service.
• Reverse engineer, decompile, or attempt to derive the source code of the Service, except where that restriction is prohibited by law.
• Resell, sublicense, or commercially exploit the Service without our written permission.
• Upload or transmit malicious code, or content that is unlawful, infringing, or abusive.

5. Your content

You retain ownership of the identities, systems, routines, habits, goals, and other content you create in the Service (“Your Content”). You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Your Content solely for the purpose of operating and improving the Service for you. This license ends when you delete Your Content or your account, except for copies retained in routine backups for a limited period.

You are responsible for Your Content and represent that you have the rights necessary to submit it.

6. Our intellectual property

The Service, including its software, design, text, graphics, and the Focus Haus name and marks, is owned by Focus Haus LLC and protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-transferable, non-exclusive, revocable license to use the Service. No other rights are granted.

7. Early access and changes to the Service

The Service is offered on an early access basis and is under active development. Features may be added, changed, suspended, or removed at any time, and availability is not guaranteed. Joining the early access list does not guarantee access, a particular launch date, or any specific pricing.

8. Fees

Some features may be offered on a paid basis in the future. If we introduce fees, we will disclose pricing and billing terms before you are charged. Purchases made through the Apple App Store or Google Play are also subject to that platform's terms, and refunds for such purchases are handled by the platform under its policies.

9. Third-party services

The Service may integrate with third-party products such as wearables, health platforms, and app stores. Your use of those products is governed by their own terms and privacy policies. We are not responsible for third-party services and do not control their availability or data practices.

10. Not medical or professional advice

Focus Haus is a personal productivity and performance tool. It does not provide medical, psychological, nutritional, or other professional advice, diagnosis, or treatment. Any scores, recommendations, readiness indicators, or insights the Service produces are informational only and must not be relied on as a substitute for advice from a qualified professional. Consult a physician before beginning or changing any exercise, nutrition, sleep, or health program, and never disregard professional medical advice because of something you read in the Service. If you think you may have a medical emergency, contact emergency services immediately.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we discontinue the Service. Sections that by their nature should survive termination will survive, including sections 5, 6, 10, 12, 13, 14, and 15.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOCUS HAUS LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (US$100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless Focus Haus LLC from any claims, damages, liabilities, and reasonable legal fees arising out of your misuse of the Service, your violation of these Terms, or your violation of the rights of any third party.

15. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. You and Focus Haus LLC agree that the state and federal courts located in Wyoming will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there. Nothing in this section limits any non-waivable rights you may have under the consumer protection laws of your place of residence.

16. Changes to these terms

We may revise these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the revised Terms.

17. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
